1. Eligibility: The Rave Now Adult Later Bingo Sweepstakes (the “Sweepstakes”) is open only to smokers twenty-one (21) years of age or older at the time of entry, who are legal residents of the fifty (50) United States (excluding Massachusetts and Michigan) and the District of Columbia (“Eligible Entrants” or “Entrants”). Employees, officers, and directors of DV Brands, Inc. (the “Presenter”), or any of their respective parents, affiliates, subsidiaries, representatives, consultants, contractors, legal counsel, advertising, public relations, promotional, fulfillment, and marketing agencies, (the “Administrator”) (collectively, the “Sweepstakes Entities”), and members of their immediate families (spouses, parents, siblings, and children, regardless of where they live) and those living in the same household are not eligible to enter or win. Noncompliance with any of the above eligibility requirements will result in disqualification. The Sweepstakes is subject to all applicable federal, state, and local laws and regulations and is void in Massachusetts, Michigan and where prohibited. Participation in the Sweepstakes constitutes Entrant’s full and unconditional agreement to these Official Rules and Presenter’s and Administrator's decisions, which are final and binding in all matters related to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein.

3. Timing: The Sweepstakes begins on May 16, 2025, at 7:00:00 p.m. Pacific Standard Time (“PT”), ends on May 19, 2025, at 5:00:00 a.m. PT (the "Promotion Period") and consists of one hundred (100) possible winners which coincides with the Promotion Period.  

4. How to Enter: To enter the Sweepstakes, you must first register your information at https://www.dvbrands.com/cnbingo. After creating a DV Brands account, the entrant will spin the Bingo Machine to release 3 balls into the catcher. If one or more of the balls in the catcher is marked $10, the entrant will receive only one (1) $10 Visa Gift Card. Only one (1) Visa Gift Card will be given to an entrant even if multiple $10 balls are delivered in the catcher after the spin. Limit one entry for the duration of the Sweepstakes Period.

By registering and creating an account on www.dvbrands.com, entering into the Sweepstakes through the DV Brands website, or by entering the Sweepstakes by email: you expressly authorize DV Brands to retain your identifying information for marketing purposes, enroll in the DV Brands mailing list, and consent to receive marketing and promotional material from DV Brands and its authorized affiliates.

Limit: Each Entrant can receive one (1) Sweepstakes entry through the duration of the Promotion Period. PST. The Sweepstakes begins on May 16, 2025, at 7:00:00 p.m.PT, and ends on May 19, 2025, at 5:30:00 a.m. PT.

Any attempt by any entrant to obtain more than the stated number of entries by using multiple/different email addresses, identities, registrations, logins, or any other methods will void that entrant's entries and that entrant may be disqualified. Use of any automated system to participate is prohibited and will result in disqualification. In the event of a dispute as to any registration, the authorized account holder of the CCN used to register will be deemed to be the entrant. The potential winners may be required to show to the Presenter and Administrator proof of being the authorized account holder of the winning CCN or forfeit the prize. Normal Internet access, phone, and usage charges imposed by your online or phone service may apply.

Multiple entrants are not permitted to share the same email address. In the event of a dispute as to any registration, the authorized account holder of the email address used to register will be deemed to be the registrant. The “entrant” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Potential winners may be required to show proof of being the authorized account holder to the Sponsor or forfeit the prize. Entries specifying an invalid, non-working, or inactive email address, will be disqualified and ineligible to win. You must complete all required information to be eligible to enter. Incomplete, illegible, corrupted, or untimely entries are void and will be disqualified.

5. Prizes: How to Enter: Grand Prize Award (maximum 100 prizes awarded): One hundred (100) eligible entrants designated as the prize winners shall be awarded the following prize award valued at $10.00 gift card USD total.

Total ARV of all prizes to be awarded: $1,000.00.

Income tax liability is the responsibility of the participant.

For All Prizes: The actual value of prizes may be subject to price fluctuations in the consumer marketplace based on, among other things, any gap in time between the date the ARV is estimated for purposes of these Official Rules and the date the prize is awarded or redeemed. Winners will not be entitled to the difference between actual value and ARV of the prize awarded. Prizes cannot be substituted, assigned, transferred, or redeemed for cash; no substitution or cash redemption will be made, except Presenter reserves the right to substitute a prize or a component thereof for one of equal or greater value if the designated prize should become unavailable for any reason. Presenter will not replace any lost or stolen prizes or components of prizes. Prizes cannot be used in conjunction with any other promotion or offer. Any and all applicable federal, state, and local taxes and all fees and expenses related to acceptance and use of prize not specifically stated herein are the responsibility solely of the winner. Only the number of prizes stated in these Official Rules are available to be won in the Sweepstakes. If, by reason of a print or other error, more prizes are claimed than the number set forth in these Official Rules, an alternate winner will be selected in accordance with the winner selection method described above from among all eligible claimants making purportedly valid claims to award the advertised number of prizes available. Limit: One (1) Prize per person throughout the Promotion Period.

Each winner acknowledges that the Released Parties (as defined below) have not made, nor are in any manner responsible or liable for, any warranty, representation, or guarantee, express or implied, in fact or in law, relative to any prize, including but not limited to its quality, mechanical condition, merchantability, or fitness for a particular purpose. Any and all warranties and/or guarantees on a prize (if any) are subject to the respective manufacturers’ terms therefore, and winners agree to look solely to such manufacturers for any such warranty and/or guarantee.

6. Release: BY PARTICIPATING IN THIS SWEEPSTAKES, ENTRANT AGREES THAT PRESENTER, ADMINISTRATOR, AND THEIR RESPECTIVE PARENT COMPANIES, AFFILIATES, SUBSIDIARIES, REPRESENTATIVES, CONSULTANTS, CONTRACTORS, LEGAL COUNSEL, ADVERTISING, PUBLIC RELATIONS, PROMOTIONAL, FULFILLMENT AND MARKETING, WEBSITE PROVIDERS, WEB MASTERS, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, AND AGENTS (THE “RELEASED PARTIES”) WILL HAVE NO LIABILITY WHATSOEVER FOR, AND SHALL BE HELD HARMLESS BY ENTRANT AGAINST, ANY LIABILITY FOR ANY INJURIES, LOSSES OR DAMAGES OF ANY KIND TO PERSONS, INCLUDING PERSONAL INJURY OR DEATH, OR PROPERTY RESULTING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM ACCEPTANCE, POSSESSION, MISUSE, OR USE OF THE PRIZE, ENTRY, OR PARTICIPATION IN THIS SWEEPSTAKES OR IN ANY SWEEPSTAKES RELATED ACTIVITY, OR ANY CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION OR INVASION OF PRIVACY, OR MERCHANDISE DELIVERY. Publicity: EXCEPT WHERE PROHIBITED BY LAW, PARTICIPATION IN THE SWEEPSTAKES CONSTITUTES WINNER’S GRANT TO PRESENTER (WHICH GRANT WILL BE CONFIRMED IN WRITING ON REQUEST OF PRESENTER) AND THE RELEASED PARTIES, THE RIGHT AND PERMISSION TO PRINT, PUBLISH, BROADCAST, AND USE, WORLDWIDE IN ANY MEDIA NOW KNOWN OR HEREAFTER DEVELOPED, INCLUDING BUT NOT LIMITED TO THE WORLD WIDE WEB, AT ANY TIME OR TIMES, THE WINNER’S ENTRY, NAME, PORTRAIT, PICTURE, VOICE, LIKENESS, OPINIONS AND BIOGRAPHICAL INFORMATION (INCLUDING BUT NOT LIMITED TO HOMETOWN AND STATE) FOR ADVERTISING, TRADE, AND PROMOTIONAL PURPOSES WITHOUT FURTHER PAYMENT, CONSIDERATION, COMPENSATION, PERMISSION, OR NOTIFICATION.

8. General Conditions: Presenter reserves the right to cancel, suspend and/or modify the Sweepstakes, or any part of it, if any fraud, technical failures, human error, or any other factor impairs the integrity or proper functioning of the Sweepstakes, as determined by Presenter in its sole discretion. If, for any reason, the Sweepstakes cannot be run as planned, Presenter may (a) suspend the Sweepstakes and modify the Sweepstakes to address the impairment, then resume the Sweepstakes in a manner that best conforms to the spirit of these Official Rules; and/or (b) award the prize(s) at random from among the eligible, non-suspect entries received up to the time of the impairment. Presenter reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process, the website, or the operation of the Sweepstakes or to be acting in violation of the Official Rules of this or any other promotion or in an unsportsmanlike or disruptive manner. ANY ATTEMPT BY ANY PERSON TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAW, AND, SHOULD SUCH AN ATTEMPT BE MADE, PRESENTER RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. Presenter’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Proof of sending or submission of an entry will not be deemed proof of receipt by Presenter and Administrator.

9. Limitations of Liability: The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Sweepstakes; (4) technical or human error which may occur in the administration of the Sweepstakes or the processing of entries; (5) late, lost, undeliverable, damaged or stolen mail; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Sweepstakes or receipt or use or misuse of any prize. If for any reason an Entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, Entrant’s sole remedy is another entry in the Sweepstakes, if it is possible. No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed, Presenter reserves the right to award only the stated number of prizes by a random drawing among all legitimate, un-awarded, eligible prize claims.

WITHOUT LIMITING THE FOREGOING, EVERYTHING REGARDING THIS SWEEPSTAKES, INCLUDING ALL PRIZES, ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSIONS OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY. CHECK LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

10. Disputes: Except where prohibited, Entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for Central District of California or an appropriate California State Court; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys’ fees; and (3) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrant and Presenter in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of California without giving effect to any choice of law or conflict of law rules (whether of the State of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California.
